Terms of Service
These Terms of Service ("Agreement") govern your access to and use of SuperHub's websites, applications, developer platforms, workspace management tools, APIs, and associated software services.
Agreement to Terms
This Terms of Service agreement ("Agreement") is entered into by and between SuperHub Technologies, Inc. ("SuperHub," "we," "us," or "our") and the individual or entity accessing or using the SuperHub platform ("Customer," "you," or "your").
BY CREATING AN ACCOUNT, ACCESSING, OR USING ANY PORTION OF THE SUPERHUB PLATFORM, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.
Account Registration & Workspace Responsibilities
To use SuperHub, you must register for an account and create or join a Workspace. Accounts must be registered by humans; automated account creation ("bots") is strictly prohibited.
- Account Security: You are responsible for safeguarding your account credentials, API keys, and personal authentication tokens. SuperHub is not liable for loss or damage arising from your failure to maintain security.
- Workspace Administrators: Workspace Owners and Admins control member access, workspace data, third-party integrations, and role permissions (Admin, Developer, Guest).
- Notice of Unauthorized Use: You must immediately notify SuperHub of any breach of security or unauthorized access to your account or workspace.
Privacy & Data Security
Your privacy and the security of your data are paramount. Our collection and processing of personal information are governed by the SuperHub Privacy Policy, which is incorporated into this Agreement by reference.
SuperHub implements industry-standard administrative, physical, and technical safeguards engineered to protect Customer Data against unauthorized access, loss, or alteration.
Customer Content & License Grant
Your Content Remains Yours: You retain all intellectual property rights and ownership of all files, text, images, source code, ticket logs, and data uploaded to SuperHub ("Customer Content").
Limited Service License: You grant SuperHub a worldwide, non-exclusive, royalty-free license strictly necessary to host, store, back up, transmit, display, and process your Customer Content solely to provide, maintain, and improve the SuperHub platform services.
Acceptable Use & Usage Restrictions
You agree not to misuse the SuperHub services. You must not, and must not permit any third party to:
- Reverse engineer, decompile, disassemble, or attempt to derive source code of the SuperHub platform.
- Sublease, resell, or distribute SuperHub services to third parties without prior written consent.
- Conduct vulnerability scanning, penetration testing, or Denial of Service (DDoS) attacks against SuperHub infrastructure.
- Store or transmit malicious code, malware, spyware, or illegal material through tickets, attachments, or repository mirrors.
- Exceed designated API rate limits or systematically scrape data using unauthorized automated scripts.
Fees, Billing & Automatic Renewals
Subscription Fees: Paid plans (such as SuperHub Pro, DevOps & Infrastructure Suite) are billed in advance on a recurring monthly or annual basis.
- Automatic Renewal: Subscriptions automatically renew at the end of each billing term unless canceled prior to the renewal date via Workspace Billing Settings.
- Taxes: All fees are exclusive of applicable federal, state, local, or value-added taxes (VAT), which will be itemized at checkout.
- Refund Policy: All payments are non-refundable except where required by mandatory law or specified in a signed Enterprise agreement.
Term & Termination
Termination by You: You may cancel your subscription or terminate your SuperHub account at any time through your workspace settings.
Termination by SuperHub: SuperHub reserves the right to suspend or terminate your account immediately upon notice if you breach any material provision of this Agreement or engage in unlawful or fraudulent activity.
Data Export & Deletion: Upon termination, you will have a 30-day grace period to export your Customer Content before workspace data is permanently purged from active servers.
Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SUPERHUB SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SUPERHUB DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OPERATION.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUPERHUB, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE SERVICES.
SUPERHUB'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO SUPERHUB IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to defend, indemnify, and hold harmless SuperHub and its affiliates from and against any third-party claims, losses, damages, liabilities, costs, and legal fees arising from your Customer Content, your breach of this Agreement, or your violation of applicable laws.
Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute or claim arising out of this Agreement shall be resolved through binding arbitration or in state and federal courts located in San Francisco, California.
